Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of services provided by Data Solve, a Melbourne-based database consultancy run by Kristian Lofts. Services covered include database engineering, migrations, dashboards, and custom application development.

2. Engagement

Each engagement begins with a written proposal covering scope, timeline, and price. Work begins once the proposal is signed and any deposit is received. Either party may terminate the engagement with reasonable notice. Outstanding work to date will be invoiced.

3. Client Responsibilities

Clients agree to:

  • Provide accurate information about their systems, data, and requirements.
  • Grant timely access to systems and stakeholders required to complete the work.
  • Treat communications respectfully.

4. Intellectual Property

  • Deliverables. Code, configuration, documentation, and dashboards created specifically for the engagement are owned by the client upon full payment.
  • Underlying methods. Generic techniques, patterns, and reusable scripts that pre-date or are not specific to the engagement remain the property of Data Solve.

5. Liability and Data

Data Solve takes reasonable care with client systems and data, including taking backups before destructive operations where possible. To the extent permitted by law, Data Solve’s liability for any loss arising from the engagement is limited to the fees paid for the engagement.

For high-risk operations (production database migrations, schema changes, deletions), Data Solve may require a written waiver acknowledging the risks involved.

6. Termination

Either party may terminate at any time. Reasons for which Data Solve may terminate immediately include abusive treatment, unlawful conduct, or non-payment past 30 days from invoice.

7. Dispute Resolution

Any dispute arising from these Terms or an engagement will be governed by the laws of Victoria, Australia. Where possible the parties will attempt to resolve disputes in good faith before pursuing formal legal action.

8. Modifications

These Terms may be updated from time to time. The current version is the one published on datasolve.tech. Material changes affecting existing engagements will be communicated to active clients directly.
